Although Alrenco will be the surviving entity, it will be run by RTO's management team. RTO's chairman Johnson, chief executive officer Bill White and chief financial officer David Belt will assume those posts with Alrenco after the merger. Walts will remain on the board of directors and serve as a consultant to the company. Alrenco also will be headquartered in Texas once the merger is complete; its New Albany facility will become a zone office serving from 150 to 250 stores. In light of those facts, some analysts are saying the deal really was a way for RTO to get stock to use In future acquisitions without conducting an Initial public offering.

They also are saying that Alrenco could be the next company to benefit from a touch of the I luizenga magic. He then built a 19-store video rental chain into Blockbuster Entertainment which he sold to Viacom Inc. for $8 billion in 1994. He's now chairman and co-CEO of UK-public JohnD.

Send faxes to (317) 633-1233 One reason could be that investors are no longer overlooking Al-renco's announcement, which it released with news of the merger Monday, that its 1997 earnings will be about 10 percent lower than the roughly $1 per share that analysts were estimating.

Another could be that investors are getting realistic about just how involved Huizenga and Johnson will be with Alrenco. Both are CEOs of other companies: Huizenga of Republic and Johnson of Extended Stay America. "George Johnson, the Block- buster connection that everyone refers to, is the chairman of this company (Alrenco) and is not in- volved in the day-to-day operations," said Dennis Van Zelfden, a securities analyst with The Robinson-Humphrey Co. Alrenco's earnings shortfall announcement, the rise in its stock price after the merger announce- ment and the earnings-per-share dilution that will result from having another 10.9 million shares outstanding led Van Zelfden to lower his rating of Alrenco stock to "long-term market perform" from "long-term Van Zelfden said White and Belt, who ran RTO before Huiz-nega and Johnson bought into it, know the rent-to-own industry, but are untested in running a big corporation. "I like this business a lot and it is coming along quickly in growing at 20 percent annually." It's tempting to believe that Alrenco is poised to enter into a Blockbuster-like growth spurt.

Investors seemed to do that last Monday, when they pushed the company's stock price up $3.06 to $18.31 on volume of 2.77 million shares, 55 times the average daily volume of the preceding six months.
