Hospital the construction of which is well under yay the building of a new unit to the City Hospital and the erection of a new pavilion at the Methodist Hos pital for which the contract has been let will not give Indianapolis an over supply of these institutions according to Dr McLean Moulder superintendent of the Methodist Hospital The now buildings however are going to give the city much greater resources along this line hospitals of Indianapolis now7 have about 830 said Dr Moulder there are times under normal conditions when they are filled to capacity It looks as if the Methodist Hospital will be turning applicants away within two weeks This is due only to a steady in crease in the demands for service If there should be an outbreak of typhoid fever or some other serious epidemic 500 patients coming in such an emergency would till the hospitals to overflowing They could not begin to take care of The special force of workers in the Methodist Hospital building campaign REALITYTONIGHT Attitude of Gas Companies and Market Quotations Indicate Early Windup SOME POINTS IN DISPUTE inancial Circles However Be lieve These Will Not orestall inal Agreement A merger ofMhe Indianapolis Gas Com pany the Citizens Gas Company will be perfected today or tonight unless there is an unexpected slip in the negotiations now pending with the Public Service Commission and the directing forces of both of the companies Meetings of the board of trustees and of the board of directors of the Citizens company will be held this afternoon to consider the terms of the lease proposed by the commission While it was said last night representatives of the Citi zens company that some of the trustees and directors are inclined to hold out against tlie demand of the commission for a reduction of gas to 55 cents a thousand cubic feet on Jan 1 they will not attempt to block the merger on that accou It was asserted also that Boyd hgad of the Volney Maloti Gavin Idivno and Boyd syndicate which bought control of the Indianapolis company sev eral months ago at the request of prrest manager of the UitizerTs com pany for the purpose of the merger is not satisfied with the lease rental pro posed by the commission CHANGES ARE PRESENTED erdinand Winter attorney for the Malott ayne contingent however appeared before the commission late yes terday afternoon with 11 Hornbrook attorney for the Citizens company and presented a number of changes in the phraseology of the lease that the two companies desire Thu fact that Winter was there par ticipating in tile arrangements for clos ing up the merger was taken by the members ol the commission to mean that the Indianapolis company has no inten tion whatever to back down from the lease as it now stands The directors and trustees of the Cit izens company were in session yesterday discussing the proposed merger The strongest objection was made to the re duction of gas to 55 cents becoming ef fective on Jan 1 instead of on the first of next July as proposed by orrest in his tcstimonv before the commission Representatives of the Citizens com pany asserted last night that in fairness to it the reduction should have been withheld until Inly They insist that it will be impossible to put into effect by Jan I the economies which will be pos sible under the merger TIMET IS REQUIRED It was pointed out that it will take an engineer from thirty to sixty days Io work out plans for a physical connection of the two companies By that time it will be too late to dig up the streets to make connections between the mains of the two properties so as a matter of fact the two companies will have to he operated separately until late next spring it was contended It was declared also that the Citizens company can not practice economies in the office forces for the reason that time will be required to determine bow many men and what men shall be retained out of the staffs of the two companies An enormous amount of detail is yet to be worked out before orrest and his organization can put into effect the sav ings which they believe is possible It was estimated bv the trustees and directors of the Citizens company that their com pany will he charged with at least $50009 in economies that il can not practice be cause the rates on gas will be reduced to 55 cents a thousand Jan 1 Representatives of tlie Citizens com pany however wnile it is expected that they will continue their protest today against the reduction on Jan 1 were not prepared to go the limit of blocking the merger on that account especially since thev have learned that the commission was divided on the date for the reduction and that Chairman Thomas Duncan and Charles Murphy favored an immediate reduction as one of the prerequisities to the merger I SYNDICATE DID WELL While il was conceded that tYio lease was not what the Malol syndicate had hoped for and expected yet in financial circles it was the general opinion that the syndicate came through in very good shape It will have a guar anteed per cent stock as soon as the merger is perfected and it will be re liev'd of all' responsibility in connection with the management and development of the property Just what effect the merger will have on the stock of the two companies is not yet known Payne who is the broker who lias handled more of the stock of the Cit izens company than any one else made a bill of 151 for some of it on the local Stock exchange yesterday The stock has not been very active during the merger nego tia Lions There lias been practically no dealing in the stuck of the Indianapolis Gas Com pany but yesterday brokers had inquiries for itv it was asserted however that the syndicate has practically all of the stock in its control the largest holders being Malott Boyd Pavne Sehmidlapp of Cincinnati and Will I Irwin of Colum bus Ind There are a numbor of blocks of stock in tlm Indianapolis company like that of City Corporation Counsel Jo seph Kealing who bought 225 shares last April soon after the merger was pro pose1 NO DIVIDENDS SINCE 1902 The stock hasnot paid any dividends since 1902 but brokers and bankers esti mate that it will be in demand when it is listed as a guaranteed 6 per cent se curity Some express the belief that the effect of the merger will be bearish on Citizens gas stock for Hie reason that the Citizens company which never lias paid its 10 per cent guarantee to its own stockholders is bound under the lease to pay the 6 per coni on Hie Indianapolis comnanv stock and 5 per cent on its bonds before it pays any dividends on its own stock Members of the Public Service Com mission would not say just what changes Winter and Hornbrook wanted to make in the lease It was explained that the ob ject of the changes was to clear up some points on which there might be confusion in the future and to provide fur the mak ing of extensions of gas mains 'The lease does not provide how many mains shall be laid bv the consolidated companies There is a provision the irunchise of each specifying the amount: uf mains that shall be put down an nually It waA stated last night that the lease 'will Ire amended todav to provide that Lin1 consolidated companies shall lay as many mains annually as lhe Combined amount provided tor in their franchises The companies were prepared to agree to this proposal COULD NOT IND KEALING Chairman Dunean said last night that he had been trying to reach Corporal ion Counsel Kealing all of the afternoon and to get from him lhe city's wishes as to the amount of mains that shall he ex tended during the year hut the commis sion was unable to find him Chairman Duncan suid that he would ask Chairman Schrader of the board of public works conm before the comnilssbm today as a representative of the city Schrader will be asked to toll the oHTimlssion what proxision ought to be made for the ex tension uf mains ne of the changes desired by Winter and Hornbrook was to make it clear that the lease can not lie vitiated in the In lure by one company to the detriment of the other fine of the commissioners ulsu said that the lease probably will be amended today so that some provision will be made fur the protection of 1 hi city after the franchise of Hie Citizens rumpany expires The latter has about eighteen years to run 'The lease is for niricly nlm years and it places a fixed charge of $361000 a year on the Citizens company until gas is reduced to 50 cents when the rental on the is Lu be 6Vz per (ent It is to be 6 per cent when gas is Capt oster Mourns Death of Dog provision Im Citizens company franchise winch pro vides that the property may be turned over tu the city at its expiration The commission probably will attempt io jiiakfi some arrangement by which the fixed charge will not become a responsi bility to the city after the franchise of the Citizens company exinres BELIEVES LEASE IS AIR The members of Hie commission while they disagreed for awhile as to the rental and the date for the reduction of the gas rate are of the opinion that the In terests of the people have been safe guarded properly and that the lease is fair to both of the companies It was explained by members of the commission that limy had allowed the In dianapolis company a fraction num than 7 per frijt on what they regarded as a fair valuation oi Um property throe exports who made a physical valuation and who testified last wonk ditforofi on the various items Those employed by the company estimated the property at about $7000000 limludtng a exceeding $1060000 ind tint now enkn oven plant which is to be at once for use Chairman Duncan said that the com mission felt that the property was worth a trifle more than $5000000 at a fair es timate and that the company was en titled to a return uf 7 pur cent on that amount The fixed charges for Hie rental xv 1 1 1 be $261 G50 Basing iheir estimate at $5000000 the commission act ua II al lowed the syndicate control of tlie In dianapolis company a fraction more than 7 per cent on tlie property The syndi cate it is stild hoped to get 7 or 7 per cent on a valuation of $7000000 QUOTE OTHER COMMISSIONS Chairman liimcnn ami other members of the commission asserted that the Wis consin Utilities i miss ion as well as commissions of other states figure I hat 7 to 7 y2 pci cent is a lair rate of inter est for the utilities companies It was explained however that if the commis sion had been fixing tlie price 'of gas to the consumers on the physical valuation of the property it would have procc d'd along different lines Il was explained also that the commission did not take into considcrat am a for the property ot the Indianapolis com pany in fixing the rental The Hgrermi'nl bclwecn the companies for the merger
